Terms of Service

1. Definitions

Certain definitions used in these Terms and Conditions shall have the meanings specified on Facebook. In addition, the following additional definitions shall carry the meanings set forth below. Additional definitions are also provided elsewhere in these terms and conditions.

“Agreement” means these terms and conditions, including all policies, procedures, and/or guidelines appearing on the Website from time to time, as well as all Facebook, TikTok, or Google Terms.

“Ad Content” means any information and files you publish on Facebook, TikTok, or Google using the Services.

“Membership” means the subscription service that allows you to use iyzads to run and manage ads on Facebook.

“IYZADS” refers to IYZADS's advanced management tool for advertisements on Facebook, TikTok, or Google used to provide the Services, its assignees, and successors.

“Trial Period” means the subscription service that allows you to test iyzads for a total period of 14 days without payment, as a normal paying user.

“Services” means the web-based features and services included in and provided as part of iyzads.

“User” means the person using iyzads services.

2. Use of Services

The Website is not intended for individuals under the age of 18. iyzads does not target its services or the Website at individuals under the age of 18. iyzads does not knowingly collect Personal Data (as defined in Section 8 below) from persons under the age of 18.

iyzads grants you a non-exclusive, non-transferable, revocable, limited, personal right to use and access the Services. iyzads does not permit any other type of use or access, including but not limited to robots, spiders, scrapers, and scraping technologies. You are responsible for your own username and password (“Login Credentials”) and must not allow any third party to access or use your login credentials. You are responsible for all persons who access the Services through your login credentials (“Authorized Users”). You and your Authorized Users may only use the Services for your own business purposes; you may not access the Services for the purpose of creating a similar or competing product or service, or to copy any idea, feature, function, or graphic of the Services.

iyzads is a technical application that provides advanced management tools for Facebook, TikTok, or Google advertisements. Therefore, in order to use the Services, you must be a registered Facebook, TikTok, or Google user and have an advertising account on Facebook, TikTok, or Google.

iyzads accepts, declares, and undertakes that in carrying out the works subject to the Agreement, the User will protect the company and brand image and refrain from any activity that could damage it.

3. Pricing

The membership fee (“Membership Fee”) shall be as specified in the current price list available at iyzads.com/tr/fiyatlandirma. All prices provided by iyzads do not include taxes and duties (unless otherwise stated). You will be required to provide a valid credit card method when registering for a Membership.

iyzads reserves the right, at its sole discretion, to change the membership fee and the prices of other services from time to time in order to cover any increase in iyzads's costs related to the services (including but not limited to increased material, labor, service, and currency costs). You shall not have the right to make any deduction from the amount payable for membership in connection with any set-off or counterclaim against iyzads. You do not have the right to withhold payments due to any alleged defect in the membership and/or other service(s). Under no circumstances do you have the right to request a refund or reimbursement of fees paid to iyzads.

If you sign up for a trial period, iyzads will require you to provide a valid credit card payment method and, unless you cancel your account before the trial period ends, will automatically begin charging you on the first day after the trial period ends.

You are always solely responsible for the direct payment to Facebook, TikTok, or Google for any advertisements purchased through the Services (if any).

4. Disclaimer and Limitation of Liability

iyzads provides you solely with a technical application for the advanced management of Facebook, TikTok, or Google advertisements. You acknowledge and agree that you are required to evaluate and assume all risks associated with running advertisements on Facebook, TikTok, or Google. You further acknowledge and agree that iyzads does not pre-screen ad content, but that iyzads shall have the right, at its sole discretion, to review, reject, or remove any ad content transmitted through the use of iyzads.

IYZADS provides no guarantee whatsoever regarding access, engagement, conversion, sales, ROAS, or advertising performance. iyzads accepts no responsibility or liability for any error, cost, loss, disclosure, or other information or data relating to or arising from ad content that is not transmitted to or published on Facebook, or arising from a failure in a transmission facility.

Furthermore, IYZADS cannot be held responsible for algorithm changes, updates to advertising policies, or technical disruptions by Meta (Facebook, Instagram), Google, TikTok, or other advertising platforms. IYZADS bears no legal or criminal liability in the event that advertising accounts, business pages, or personal accounts belonging to the User are restricted, suspended, or closed by the relevant platforms.

You use all Services at your own risk. To the fullest extent permitted by applicable law, iyzads disclaims all express, implied, statutory, or other warranties, representations, and conditions. Without limiting the generality of the foregoing, iyzads specifically disclaims all express or implied warranties of design. Merchantability, fitness for a particular purpose, title, quality, and non-infringement, that the Services will meet your needs, or that the Services will always be available, accessible, uninterrupted, timely, secure, accurate, complete, and error-free; no advice or information, whether oral or written, obtained from iyzads or elsewhere, will create any warranty or condition not expressly stated in these terms. These limitations shall apply regardless of the failure of the essential purpose of any limited remedy provided herein.

iyzads shall not be liable for any delay in performing its obligations under these Terms caused by conditions that were not reasonably foreseeable by iyzads at the time of entering into these Terms and the effects of which could not reasonably be avoided or overcome, including but not limited to reduction or interruption of access to Facebook, TikTok, or Google, interruption or delay in external networks or telephone connections, or interruption in power supply. iyzads shall in no event be liable to you for any loss of profit or other indirect, special, consequential, or incidental damages arising out of or in connection with the use of iyzads or the Services, even if iyzads has been advised of the possibility of such damages and regardless of the legal theory upon which such damages may be based.

iyzads's total liability arising from the use of iyzads and/or the Services shall not exceed one hundred dollars ($100) or the amount you have paid to iyzads in the last twelve (12) months. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages; therefore, the above limitation or exclusion may not apply to you. In such cases, iyzads's liability shall be limited to the maximum extent permitted by applicable law.

All legal liability arising from incomplete/incorrect information provided by the User in any work to be performed belongs to the User. However, in cases where, despite the correct information provided by the USER, incorrect and misleading information is provided by IYZADS, or advertising, marketing, or information transfers are made in violation of legislation in any way, the liability shall belong to IYZADS.

5. Intellectual Property Rights

All copyrights, designs, patents, trademarks, trade names, and other intellectual property rights displayed in iyzads or on the Website are and shall remain the exclusive property of iyzads (or, as the case may be, Facebook, TikTok, YouTube, Google, or any third party). You do not acquire any intellectual property rights belonging to iyzads other than the right of use under these Terms. Unauthorized reproduction, redistribution, publication, transmission, modification, sale, and any other use of iyzads's intellectual property rights is prohibited and may result in legal and criminal sanctions. By transmitting, submitting, or publishing any ad content through the use of the Services, you grant iyzads a non-exclusive, sublicensable, and perpetual license to use, copy, display, modify, or otherwise dispose of such content for any purpose. In addition, the User accepts and declares that IYZADS is permitted to use the User's username, brand name, trade name, and logo within the scope of the “References” list on the Website, in presentations, and in other promotional channels.

6. Data Collection

Your personal data may be processed based on the legal grounds set forth in Articles 5 and 6 of the Law for the purposes of membership procedures and user account creation, provision of platform services and software infrastructure, management of advertising processes, execution of technical support and system security processes, monitoring and improving platform performance, evaluation of user requests and complaints, and fulfillment of legal obligations.

When you visit the Website and/or use iyzads, and when you interact with the Website and/or iyzads, you provide iyzads with information that may be collected. iyzads has the right, at its sole discretion, to record and freely dispose of such information (including but not limited to all ad content).

Submitting your name and email address, as well as any other requested personal data or other personally identifiable information (collectively “Personal Data”), is a condition of using the Services. The personal data you provide will enable iyzads to inform you about the Services as well as other services and products you may be interested in. iyzads, its affiliates, and partners may use your personal data to process, manage, and provide you with personalized news, advertisements, and other information. You may opt out of receiving further advertisements to your email address at any time by sending a notification to iyzads at the address first stated in these terms and conditions.

Within the scope of platform use and the service relationship, your identity information, communication and address information, username, account and profile information, platform usage and transaction data, security and log data, financial information, and support and complaint information may be processed; anonymized data is not considered personal data.

Cookies may be used to facilitate your visit to the Website, to enhance your experience, to track the number of visitors and overall usage of this Website, and to track advertisements. A cookie is a small text file stored on your hard drive that tracks your movements on the Website. Cookies are never used to store Personal Data. The information collected from you on the Website helps us evaluate what types of information may be of interest to other visitors.

IYZADS may share your personal data, limited solely to the performance of the service and fulfillment of legal obligations, with hosting and infrastructure providers from which services are obtained, software and technical support suppliers, business partners, solution partners, and legally authorized public institutions and organizations. Where necessary, personal data may be transferred abroad within the framework of the KVKK and Board decisions; in this context, IYZADS may share your personal data with infrastructure providers, business partners, and authorized institutions from which services are obtained, and your data may be transferred abroad in accordance with Article 9 of the KVKK; users of the platform are deemed to have consented to such transfer.

Data subjects have the right, pursuant to Article 11 of the KVKK, to learn whether their data is being processed, to request information if it has been processed, to learn the purpose of processing, to know the countries and third parties to which data is transferred, to request correction of data, to request deletion of data, to request restriction of processing, to withdraw consent, and to request compensation for damages. Data is retained for the statutory limitation periods, and you may submit your requests to [email protected]; applications are finalized within 30 days at the latest.

By checking the “I agree” box when registering, you unconditionally consent to iyzads collecting and processing your Personal Data as specified in these terms. For a more detailed explanation of iyzads's collection and use of your Personal Data, please review the Privacy Policy located at https://iyzads.com/en/privacy-policy, which is incorporated herein by reference.

7. Links from the Website

This Website contains links to Facebook, TikTok, YouTube, Google, and other websites that are not owned, controlled, or operated by iyzads or its affiliates (“Third-Party Websites”). If you use these links, iyzads cannot be held responsible for any content, materials, or other information displayed on such Third-Party Websites. Such links do not imply endorsement of the Third-Party Sites by iyzads. You acknowledge that iyzads provides these links solely for your convenience and that iyzads is not responsible for the content of such Third-Party Sites. Your use of any Third-Party Site is subject to the terms of use and privacy policies contained on the linked Third-Party Site.

8. Relationship of the Parties

Nothing in these Terms or your use of the Services shall constitute, in any way, any agency, association, partnership, joint venture, or employee-employer relationship between you and iyzads. You shall not have the right, power, or authority to make any statement on behalf of another party, or to assume or create any express or implied obligation, or to bind iyzads in any way.

The Parties mutually agree that they will not publish news or posts of any kind, particularly through social media and other mass communication tools, that would damage each other's commercial reputation, and otherwise agree to pay a contractual penalty of 50,000 TRY and acknowledge that this amount is not excessive. The User declares that they have purchased this service within the scope of their commercial or professional activities, that they are not a consumer within the meaning of Law No. 6502, and that they hold the status of Merchant/Tradesman pursuant to the provisions of the Turkish Commercial Code.

9. Your Indemnification

You agree to indemnify and hold harmless iyzads and its affiliates, to the extent permitted by applicable law, from and against all losses and expenses, including reasonable attorneys' fees, arising out of or based on (a) your violation of any of the provisions of these terms, or related to your Ad Content and/or your use of iyzads, (b) claims that your ad content infringes, violates, or has violated intellectual property rights, privacy rights, or other rights of a third party, or violates any applicable law, or (c) claims arising out of or related to your use of any Third-Party Website or third-party services.

10. Termination

Nature of the Service and Right of Withdrawal: The services offered by IYZADS encompass digital platform access, software-based advertising management, and automation processes, and are entirely digital in nature. Such services are deemed “immediately performed” upon the activation of the user account and the making available of system features. In this context, pursuant to Article 15(ğ) of the Consumer Protection Law No. 6502 and the Distance Contracts Regulation, the right of withdrawal cannot be exercised in contracts for services performed instantly in electronic environment and intangible goods delivered instantly to the consumer. The User irrevocably accepts, declares, and undertakes that upon commencement of the service, they waive this right.

Trial Period and Cancellation: In the event that the User is not satisfied with the service during the 14 (fourteen)-day Trial Period, they may terminate their membership without any payment obligation. For terminations during the trial period, the 15-day advance notice requirement does not apply. The User acknowledges that if they do not cancel their account before the trial period ends, the first-period membership fee will be charged to the defined payment method.

Paid Membership and Termination Notice: The User has the right to terminate their ongoing paid membership at any time without providing any reason. However, in order to prevent collection for the next period, the termination notice must be submitted in writing or via the relevant panel on the Platform at least 15 (fifteen) days before the end of the current subscription month. The tracking and execution of membership cancellation and account closure are entirely the responsibility of the user. In the event of non-compliance with the notice period, the fee for the following month will be collected on a full calendar month basis.

Refund Conditions: In the event that the user voluntarily leaves the platform, does not use the service, or closes their account after the service has commenced, refunds or partial refunds of previously collected membership fees cannot be requested. The service fee is deemed earned upon the provision of access to the platform.

Termination for Cause by IYZADS: IYZADS may immediately terminate access to the service without prior notice in the event that the user violates the terms of this Agreement, threatens Platform security, is found to be engaging in misuse, or engages in unlawful activities. In such cases, the user shall have no right to any compensation or refund.

Protection of Mutual Reputation: The Parties are obliged, in accordance with the principles of commercial integrity, to protect each other's commercial reputation and brand value. The User agrees and undertakes to first seek resolution through IYZADS support channels ([email protected]) in the event of any technical issues or dissatisfaction experienced during the Trial Period and thereafter; and that until the parties' justifications are proven, they will not make unfounded or defamatory statements on social media, complaint platforms, or other publicly accessible forums.

By approving this agreement, the User declares that they are aware, understand, and expressly accept that due to the digital nature of the service provided, there is no right of withdrawal as required by legislation, that no fee refund will be made even in the event of termination of the agreement, and that the platform does not provide any sales guarantee to the user. In this context, the User irrevocably declares and undertakes that they will not make any claim or demand for compensation from IYZADS regarding the aforementioned matters.

11. Operation of the Service

iyzads reserves the right to modify, suspend, discontinue, or restrict any part of iyzads and/or its services at any time without notice and for any reason, and shall not be liable to you in any way for the possible consequences of the foregoing.

The services offered by IYZADS encompass digital platform access, software-based advertising management, analysis, and automation processes, and are entirely digital in nature. The performance of such services commences immediately and instantly upon the creation of the user account, the assignment of access authorization to the platform, and the activation of system features. The User irrevocably accepts, declares, and undertakes that upon the commencement of digital content and services, the performance is fulfilled, and that from this point forward, the service cannot be reversed by its nature and the performance shall be deemed to have taken place.

12. Changes to Terms and Conditions

iyzads may change, amend, or modify any of these terms or conditions at any time and at iyzads's sole discretion. Changes will be notified by posting a change notice on the Website in a manner visible to users upon their first login after the change is made, and by sending you an email. All such changes shall take effect 30 days after notification, unless otherwise stated. If you do not agree to any changes to these Terms, you must terminate the services pursuant to Section 10. Your continued use of the Website and Services will be subject to the applicable terms then in effect for the Website. iyzads recommends that you review the Facebook, TikTok, YouTube, or Google Terms at regular intervals to ensure you are aware of any changes.

13. Assignment

iyzads may assign its rights and obligations under these terms to affiliated companies and other companies within the same group of companies.

14. Severability

If any provision of these terms and conditions is determined by a competent court to be invalid or otherwise unenforceable, such provision (or part thereof) shall be enforced to the extent possible in accordance with the stated intentions of the parties, or if such enforcement cannot be achieved, such provision shall be deemed deleted from these terms and conditions, and the remainder of these terms and conditions shall continue to remain in full force and effect.

15. Final Provisions

Matters not regulated in the Agreement are subject to the provisions of applicable laws and regulations. These Terms of Service and all disputes arising out of or in connection with them shall be governed by the laws of Turkey and shall be heard in the Courts and Enforcement Offices of Antalya. In disputes arising from this agreement, IYZADS's commercial books, computer records, server logs, and e-invoices shall constitute conclusive and exclusive evidence pursuant to Article 193 of the Code of Civil Procedure.
