Terms of Service

1. Definitions

Certain definitions used in these Terms and Conditions shall have the meaning set forth on Facebook. The following additional definitions will also have the meanings set out below. Additional definitions are provided elsewhere in these terms and conditions.

“Agreement”, means these terms and conditions, including any policies, procedures and/or guidelines that appear from time to time on the Website, as well as any Facebook, TikTok, or Google Terms.

“Advertising Content”, means any information and files that you post on Facebook, TikTok or Google using the Services.

“Membership”, means the subscription service that allows you to use iyzads to publish and manage ads on Facebook.

“Iyzads”, means iyzads' advanced management tool for advertising on Facebook, TikTok or Google, its successors and assigns, used to provide the Services.

“Trial Period”, eans the subscription service that allows you to test iyzads as a regular paying user without payment for a total period of 7 days.

“Services”, means the web-based features and services included in and provided as part of iyzads.

2. Use of Services

iyzads does not target its services or the Website to individuals under the age of 18. iyzads does not knowingly collect Personal Data (defined in Section 8 below) from individuals under the age of 18.

iyzads grants you a non-exclusive, non-transferable, revocable, limited, personal, limited right to use and access the Services. iyzads does not permit any other use or access, including, but not limited to, by robots, spiders, crawlers and scraping technologies. You are responsible for your own user name and password (“Login Information”) and you must not allow any third party to access or use your login information. You are responsible for all persons who access the Services through your login credentials (“Authorized Users”). You and your Authorized Users may only use the services for your own business; you may not use it to access the services for the purpose of creating a similar or competitive product or service or copying any idea, feature, function or graphic of the services.

iyzads is a technical application that provides advanced management tools for Facebook, TikTok or Google ads. In order to use the services, you must therefore be a registered Facebook, TikTok or Google user and have an advertising account on Facebook, TikTok or Google.

3. Pricing

The membership fee (“Membership Fee”) will be as set out in iyzads' current price list, which can be viewed at iyzads.com/en/fiyatlandirma. All prices provided by iyzads are exclusive of taxes and duties (unless otherwise stated). You will be required to provide a valid credit card method when signing up for membership.

iyzads reserves the right to change the membership fee and the prices of other services from time to time in its sole discretion to cover any increase in iyzads' costs for the services (including but not limited to increased material, labor, service, currency costs). You shall not be entitled to any deduction from the amount due for membership in connection with any settlement or counterclaim against iyzads. You shall not be entitled to withhold payments due to any alleged defect in the membership and/or other service(s). In no event shall you be entitled to a refund or reimbursement of any fees paid to iyzads.

If you sign up for a trial period, iyzads will ask you to provide a valid credit card payment method and will automatically start charging you on the first day after the trial period ends, unless you cancel your account before the trial period ends.

You are at all times responsible for the direct payment to Facebook, TikTok or Google of advertisements (if any) purchased through the Services.

4. Denial of Liability and Limitation of Liability

iyzads only offers you a technical application for the advanced management of Facebook, TikTok or Google ads. You acknowledge and agree that you must evaluate and assume all risks associated with the publication of ads on Facebook, TikTok or Google. You further acknowledge and agree that iyzads does not pre-screen advertising content, but iyzads shall have the right, in its sole discretion, to review, reject or remove any advertising content transmitted through the use of iyzads.

iyzads assumes no responsibility or liability for any errors, costs, losses, disclosures relating to or relating to advertising content or any other information or data not transmitted to or posted on Facebook or resulting from a failure of a transmission facility.

You use all services at your own risk. To the fullest extent permitted by applicable law, iyzads disclaims all warranties, representations and conditions of any kind, express, implied, statutory or otherwise. Without limiting the generality of the foregoing, iyzads specifically disclaims all express or implied warranties of design. No warranties or conditions of merchantability, fitness for a particular purpose, title, quality and non-infringement, that the services will meet your needs or that the services will always be available, accessible, uninterrupted, timely, secure, accurate, complete and error-free, no advice or information, oral or written, obtained from iyzads or elsewhere, shall create any warranty or condition not expressly stated in these terms. These limitations shall apply notwithstanding the failure of the essential purpose of any limited remedy provided hereunder.

iyzads shall not be liable for any delay in performing its obligations under these Terms caused by circumstances which could not have been reasonably foreseen by iyzads at the time of entering into these Terms and the effects of which could not reasonably have been avoided or overcome, including but not limited to reduced or interrupted access to Facebook, TikTok or Google, interruption or delay in external networks or telephone connections or interruption in power supply. In no event shall iyzads be liable to you for any lost profits or any other indirect, special, consequential or incidental damages or any other indirect, special, indirect or incidental damages arising out of or in connection with the use of iyzads or the services, even if iyzads has been advised of the possibility of such damages and regardless of the legal theory on which such damages may be based.

iyzads' total liability arising out of your use of iyzads and/or the services will not exceed one hundred dollars ($100) or the amount you have paid iyzads in the last twelve (12) months. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such cases, iyzads' liability will be limited to the maximum extent permitted by applicable law.

5. Intellectual Property Rights

All copyright, designs, patents, trademarks, trade names and other intellectual property rights in iyzads or displayed on the Website are and will remain the exclusive property of iyzads (or, as the case may be, Facebook, TikTok, Youtube, Google or any third party). You do not acquire any intellectual property rights of iyzads other than the right of use under these Terms. Any unauthorized reproduction, redistribution, publication, transmission, modification, sale or other exploitation of iyzads' intellectual property rights is prohibited and may result in civil and criminal penalties. By transmitting, posting or publishing any advertising content using the Services, you grant iyzads a non-exclusive, sublicensee and perpetual license to use, copy, display, modify or otherwise dispose of such content for any purpose.

6. Data Collection

When you visit the Website and/or use iyzads, you are providing iyzads with information that may be collected when you interact with the Website and/or iyzads. iyzads has the right, in its sole discretion, to save and freely dispose of such information (including, without limitation, all advertising content).

Submitting your name and e-mail address, as well as any other personal data or other personally identifiable information requested (collectively, “Personal Data”) is a condition of using the services. The personal data you provide will allow iyzads to inform you about the services as well as other services and products you are interested in. iyzads, its affiliates and partners may use your personal data to process, manage and provide you with personalized news, advertisements and other information. You may opt-out of receiving further advertisements to your e-mail address at any time by sending a notification to iyzads at the address first specified in these terms and conditions.

Cookies may be used to facilitate your visit to the Website, to improve your experience, to track the number of visitors and general use of this Website and to track advertising. A cookie is a small text file that is stored on your hard disk and tracks your movements on the Website. Cookies are never used to store Personal Data. The information collected from you on the Website helps us evaluate what kind of information may be of interest to other visitors.

By checking the “I agree” box when you register, you unconditionally consent to iyzads collecting and processing your Personal Data as set out in these terms. 7. Links from the Website

This Website contains links to Facebook, TikTok, Youtube Google and other websites that are not owned, controlled or operated by iyzads or its affiliates (“Third Party Websites”). If you use these links, iyzads cannot be held responsible for any content, materials or other information displayed on such Third Party Websites. Such links do not constitute an endorsement by iyzads of such Third Party Sites. You acknowledge that iyzads is providing these links to you only as a convenience and further acknowledge that iyzads is not responsible for the content of such Third Party Sites. Your use of any Third Party Site is subject to the terms of use and privacy policies contained on the linked Third Party Site.

8. Relationship of the Parties

Nothing in these Terms or your use of the Services shall in any way create any agency, association, partnership, joint venture or employee-employer relationship between you and iyzads. You shall have no right, power or authority to make any representation on behalf of anyone else or to assume or create any obligation, express or implied, or to bind iyzads in any way.

9. Your compensation

You agree to indemnify and hold harmless iyzads and its affiliates, to the extent permitted by applicable law, from and against all losses and expenses, including reasonable attorneys' fees, (a) based on or arising out of your breach of any of the provisions of these terms, or (b) related to your advertising Content and/or use of iyzads ,(b) claims that your advertising content infringes or violates intellectual property rights, privacy rights or other rights of a third party or violates any applicable law; or (c) claims relating to or arising out of your use of any Third Party Website or third party services.

10. Termination

These terms and conditions will apply until terminated by you or iyzads as set out below:

The services, which are free of charge during the Trial Period, may be terminated by you at any time and without giving any reason by removing the iyzads application. You may terminate your membership at any time and without giving any reason by giving written notice to iyzads fifteen (15) days before the end of each month. You acknowledge and agree that you will fulfill your obligations under these Terms until the termination date. The membership fee will always be calculated on a full calendar month basis.

If you are dissatisfied with the services or are harmed by iyzads or anything related to the services, you may terminate the services in accordance with this section of the terms, as applicable. Such termination will be your sole and exclusive remedy (and sole exclusive liability) for any breach of contract.

Iyzads has the right, in its sole discretion, to terminate your use of the services if you breach any of the terms and conditions set out in these terms or any applicable law. Such termination of your access to the services may be effected without prior notice, and you acknowledge and agree that iyzads may immediately delete any information or files in your account (if any) and cancel any further access to iyzads without liability to you or any third party. iyzads may also terminate the services at any time without cause by providing you with a written notice of termination.

11. Operation of the Service

iyzads reserves the right to modify, suspend, discontinue or restrict any part of iyzads and/or its services without any notice and for any reason whatsoever and shall not be liable to you in any way for any possible consequences of the foregoing.

12. Changes in Terms and Conditions

iyzads may change, modify or amend any of these terms or conditions at any time and in iyzads' sole discretion. Changes will be notified by posting a change notice on the Website, which will be visible when users log in for the first time after the change is made, and by emailing you. All such changes will be effective 30 days after notice unless otherwise specified. If you do not agree to any changes to these Terms, you must terminate the Services in accordance with Section 10. Your continued use of the Website and Services will be subject to the then-current terms in effect for the Website. iyzads recommends that you periodically review the Facebook, TikTok, Youtube or Google Terms so that you are aware of any changes.

13. Homework

iyzads may transfer its rights and obligations under these terms to affiliated companies and other companies within the same group of companies.

14. Divisibility

In the event that any provision of these terms and conditions is determined by a court of competent jurisdiction to be invalid or otherwise unenforceable, such provision (or part thereof) shall be enforced to the extent possible in accordance with the expressed intentions of the parties or, if such enforcement cannot be accomplished, it shall be deemed deleted from these terms and conditions and the remainder of these terms and conditions shall continue in full force and effect.

15. Final Provisions

The provisions of laws and regulations are reserved for matters not regulated in the Agreement. These Terms of Service and all actions arising out of or in connection with them shall be governed by the laws of Turkey and shall be brought in Antalya Courts and enforcement offices.
